Welcome to Futura Network Technologies Inc. (the “Company,” “Futura,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our corporate website (www.futuraos.us), cloud platform, APIs, and proprietary software architecture known as “Futura OS” (collectively, the “Services”). By accessing our website or using our Services, you agree to be bound by these Terms.
1. Nature of Our Services
Futura Network Technologies Inc. is a technology infrastructure provider for financial services and core software operating strictly within a Business-to-Business (B2B) ecosystem. Futura is not a bank, credit union, depository institution, or licensed money transmitter. Our platform functions as an advanced Hardware Abstraction Layer (HAL) and cloud orchestration network that enables commercial clients to transform physical terminals, such as automated teller machines, self-service kiosks, and intelligent retail terminals, into secure, multi-service financial nodes.
Futura does not hold or maintain money transmission licenses, banking licenses, gift card issuance licenses, or any other regulatory authorization required to directly provide regulated financial services.
Futura OS functions solely as a technology platform that enables integration with authorized third-party service providers.
All regulated financial transactions, customer onboarding processes, compliance obligations, licensing requirements, and related financial services are performed and administered exclusively by the applicable licensed provider under its own regulatory framework. Certain services available through the Futura platform are provided by independent licensed partners, including:
- Money Transfer Services: ESSENTIAL FINANCIAL INVESTMENTS CORP. DBA ESSENTIAL MONEY TRANSFERS & ATRIUM PAY. Website: https://atriumpay.com
- Gift Card Services: XOXO PLUM. Website: https://xoxoplum.com
Futura does not accept customer deposits, does not custody consumer funds, does not transmit money on its own behalf, does not issue gift cards, and does not directly provide regulated financial services. Each licensed provider is solely responsible for maintaining all licenses, registrations, compliance programs, and regulatory approvals applicable to its services.
The availability of third-party services through Futura OS does not create a banking, agency, partnership, representation, mandate, or joint venture relationship between Futura Network Technologies Inc. and any licensed provider.
If you enter into these Terms on behalf of a company, financial institution, or other legal entity, you represent that you have full legal authority to bind such entity to these provisions. If you do not have such authority, or if you do not agree with these Terms, you must not accept them and may not access or use the Services.
All financial transactions, clearing, and settlement processed through our software are executed exclusively by licensed financial institutions, banks, authorized payment processors, or regulated third-party providers, as applicable.
2. Commercial Agreements and Software Licensing
These website Terms are intended to establish the general rules governing interaction with our online portal and public API documentation.
Any implementation of Futura OS, pilot programs, hardware connectivity, or commercial operations requires the execution of a definitive Master Services Agreement (MSA) or formal SaaS agreement. In the event of a direct conflict between these digital Terms and a duly executed MSA, the specific provisions of the written MSA shall prevail in all cases.
3. Intellectual Property and Exclusive Rights
The Services, including without limitation the Futura OS source code, platform architecture, HAL frameworks, administrative dashboards, designs, logos, graphics, and trade secrets, are the exclusive property of Futura Network Technologies Inc. and are protected by United States and international copyright, patent, trademark, and intellectual property laws.
Users, clients, and visitors are strictly prohibited from reverse engineering, decompiling, disassembling, modifying, creating derivative works from, or duplicating any part of our proprietary technology without the Company’s express written authorization.
4. Hardware and Operational Limitations
Because the Futura OS platform is programmatically decoupled from physical hardware units, the commercial client, terminal owner, or designated independent operator is solely responsible for all physical logistics.
This operational perimeter includes, among other matters:
- Physical hardware maintenance, continuous technical availability, and mechanical safety compliance.
- Cash management, secure cash-in-transit (CIT) logistics, armored vehicle coordination, and physical vault replenishment.
- Local physical security, real estate leasing, spatial zoning, and compliance with the Americans with Disabilities Act (ADA) or equivalent regional accessibility regulations.
5. Regulatory Compliance and Financial Security (AML)
Commercial entities using our platform must maintain full compliance with all applicable federal, state, and international financial regulations. This includes strict adherence to the Bank Secrecy Act (BSA), Anti-Money Laundering (AML) controls, and sanctions screening processes of the Office of Foreign Assets Control (OFAC).
5.1. Data Handling Regulatory Compliance
Futura Network Technologies Inc. reserves the right, in its sole discretion, to immediately suspend or permanently terminate access to our APIs, cloud infrastructure, or node connectivity for any terminal, endpoint, or account that presents fraudulent activity, unusual transaction velocity, or violations of FinCEN regulations.
Futura shall be responsible for implementing reasonable and proportionate measures to protect any data that, by reason of the use of its software, comes under its custody, control, or processing, in accordance with its contractual obligations and applicable laws regarding data protection, information security, and confidentiality.
5.2. KYC & KYB Compliance
Futura undertakes to implement reasonable procedures for knowing and verifying the natural and legal persons with whom it interacts in the course of its commercial and operational activities, including Know Your Customer (KYC) and Know Your Business (KYB) processes, in order to validate identity, existence, legal capacity, corporate structure, beneficial owners, and other relevant information for the prevention of fraud, money laundering, terrorist financing, and other regulatory compliance risks.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Futura Network Technologies Inc., its affiliates, directors, or licensors shall not be liable for any indirect, incidental, special, consequential, or exemplary damages. This includes, without limitation, loss of monetary profits, operational data, corporate reputation, or physical hardware downtime arising out of or related to the implementation, performance, use, or inability to use our software infrastructure.
7. Governing Law and Jurisdiction
These Terms, together with any digital dispute arising directly from the use of our website or software interfaces, shall be governed by, construed, and enforced in accordance with the internal laws of the United States, without regard to conflict-of-law principles.
Any legal action or formal proceeding related to the Services shall be brought exclusively before the competent courts of the Company’s legal domicile.
